1. Introduction and Definitions

2. Use of the Service

• You agree not to distribute or reproduce any portion of the Services, or to reverse engineer or attempt to access the source code without explicit permission.

3. Subscription Plans and Fees

Subscription Tiers: We may offer various subscription options (e.g., Basic, Pro, Enterprise), each differing in features such as the number of ad analyses allowed per month, data retention period, or access to premium AI features.

Fees & Billing:

• By subscribing, you agree to pay all applicable fees.
• Recurring subscription fees will be automatically charged at the beginning of each billing cycle, unless you cancel beforehand.
• All payments are non-refundable unless otherwise stated in our refund policy.

Cancellation:

• You may cancel your subscription at any time through your account settings or by contacting support.
• Cancellations take effect at the end of the current billing cycle.

4. User Data and Intellectual Property

Ownership of Designs & Analyses:

• We retain ownership of any original methodologies, algorithms, or software used to create the AI insights.
• You retain ownership of any raw data and content you upload for analysis, as well as your final ad campaigns or marketing materials.

License to Use Your Data:

• By uploading or otherwise providing Data to the Services, you grant Green Light a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and modify your Data for the purpose of delivering the Services and improving our products, including training our AI models.
• You represent and warrant that you have the necessary rights and permissions to grant this license.

Limitations on Modification or Redistribution:

• You may not copy or distribute any of our proprietary content, codes, or images without explicit written permission.

5. Disclaimers and Warranties

As-Is Service: Our Services are provided “as is” without warranties of any kind, whether express or implied.

Accuracy of Analyses: While we strive to provide accurate ad analysis, we do not guarantee 100% accuracy or specific outcomes.

Limitation of Liability:

• Green Light is not liable for any damages arising from your use of the Services, including but not limited to lost revenues or indirect, consequential damages.
• In any event, our total liability for claims related to the Services will not exceed the total amount paid by you in the previous 12 months.

6. Dispute Resolution

Informal Resolution: In the event of a dispute, you agree to first attempt to resolve it by contacting us directly.

Mediation/Arbitration: If informal resolution fails, disputes may be resolved through mediation or arbitration, in accordance with the laws of the jurisdiction in which Green Light is located.

Governing Law: This Agreement is governed by and construed in accordance with the laws of [Applicable Jurisdiction].

7. Termination

Termination by User: You may terminate this Agreement at any time by canceling your subscription and ceasing all use of the Services.

Termination by Green Light: We may terminate your access if you violate this Agreement or if we discontinue the Service.

Effect of Termination: Upon termination, any licenses granted to you end immediately, and you must stop using the Services. We may retain your Data for a commercially reasonable period in accordance with our Privacy Policy.

8. Entire Agreement and Amendments

Entire Agreement: These Terms, along with any additional policies (including our Privacy Policy), constitute the entire agreement between you and Green Light.

Amendments: We may update these Terms from time to time. We will notify you of any significant changes, and continued use of the Services after such changes indicates your acceptance.
